IMPORTANT NOTICE: THESE TERMS INCLUDE AN AGREEMENT TO MANDATORY ARBITRATION, WHICH MEANS THAT YOU AGREE TO SUBMIT ANY DISPUTE RELATED TO YOUR USE OF OUR SERVICES TO BINDING INDIVIDUAL ARBITRATION RATHER THAN PROCEED IN COURT. THESE TERMS ALSO INCLUDE A JURY WAIVER AND A CLASS ACTION WAIVER, THE LATTER OF WHICH MEANS THAT YOU AGREE TO PROCEED WITH ANY DISPUTE INDIVIDUALLY AND NOT AS PART OF A CLASS ACTION.
Welcome to the network of interactive services provided by Broadstream Inc., its affiliates and its subsidiaries (collectively “Broadstream,” “us,” or “we”). These Terms of Use, along with our Privacy Policy (collectively “Terms”) govern your use of the websites, applications, and other products and services offered by Broadstream or its affiliates that include an authorized link to these Terms (collectively, the “Services”).
Please read these Terms carefully before using the Services as these Terms constitute a legally binding agreement between you and Broadstream. By clicking “I Accept” or a similar designation, establishing an account (as defined in Section 3 below), or downloading, installing, accessing or using the Services, you (a) accept and agree to be bound by and to comply with these Terms and (b) confirm you have read, understood and consent to the collection, use, disclosure, and other handling of your information as described in our Privacy Policy at https://broad.stream/privacy-policy as may be updated from time to time in accordance with applicable laws and regulations. If you do not accept or understand these Terms, please do not download, access, use, or register with the Services.

Certain Services are provided to you free of charge, while other Services, including Broadstream Plus (“Broadstream Plus”), require payment before you can access them. If you choose to subscribe to Broadstream Plus, please review the provisions of Section 7, in addition to all of the other provisions of these Terms. If you are not a subscriber of Broadstream Plus, then Section 7 does not apply to you. References to Services throughout these Terms include Broadstream Plus.]
1. Changes
These Terms are effective as of the Effective Date above. If you have not reviewed the Terms applicable to a Service since the Effective Date, please review these updated Terms carefully before using any Service.
We may modify these Terms on a prospective basis at any time in our sole discretion. We will notify you of any material change to these Terms (for example, by posting a notice on the Services or an updated version of these Terms with a new Effective Date). Any change to these Terms will be effective either thirty (30) days following our posting of the changes on broad.stream or, for new users who register during this 30-day period, at the time of registration, as applicable. Your continued access or use of the Services after the effective date of any changes to these Terms will be deemed as irrevocable acceptance of these Terms as modified. Customer service representatives are not authorized to modify these Terms, either verbally or in writing, and any such modification shall have no effect.
The Broadstream software is developed by, or for, Broadstream and may solely be used for authorized streaming and viewing of Content from Broadstream through Broadstream ready devices. This software may vary by device and medium, and functionalities may also differ between devices. By using our Service, you agree to receive, without further notice or prompting, updated versions of the Service and related third-party software. If you do not accept the foregoing Terms, do not use our Service.
Sweepstakes, contests, and promotions on the Services may also have additional rules and eligibility requirements, such as certain age or geographic area restrictions. You are responsible for complying with these rules and requirements.
2. Privacy Policy
Our Privacy Policy describes our practices concerning data that you provide or that we may collect about you through the Services, and you consent to our use of data in compliance with the Privacy Policy.
We personalize Content and features as part of the Services, including showing you recommendations on Content, features and services that might be of interest to you. The Services will provide Broadstream with information about your use and the performance of the Service, as well as information regarding the devices on which you download and use the Service (content archiving, available memory, up-time, log files, network diagnostics, Content usage, viewing data, search queries, location, connectivity and signal strength). Information provided to Broadstream may be processed in the cloud to improve your experience and our products and services, and may be stored on servers outside the country in which you live. We will handle any information we receive in accordance with the Privacy Policy.
3. Registration and Access Controls
3.1 Registration. After you access the Services five (5) times, we will request registration information from you to set up a user account, and to continue use of the Services you must provide us with accurate and complete information and must update the information when it changes. We shall have no liability associated with or arising from your failure to maintain accurate information in connection with your account, including, but not limited to, your failure to receive critical information from Broadstream.
3.2 Age Limitations. The Services are not intended to be used by children without involvement and approval of a parent or guardian. If you are under the age of 13, you are not permitted to register with Broadstream or provide your personal information to Broadstream. If you are at least 13 and under 18 years of age (or under the applicable age of majority in your state or territory of residence), you may register with Broadstream, but only if you have the consent of your parent or guardian, including consent to these Terms on your behalf, and for clarity, you may only modify an account, or associated profiles, with the consent of your parent or guardian. Please note that you must be at least 18 years of age in order to purchase certain Services. You are responsible for [enabling the content access controls] on Services so that any age-restricted content is not viewed by persons not meeting the applicable age limits, as specified by law, regulation, or the content provider.
3.3 Geographic Limitations. The Services and Content are only available to US, Australian, European Union, and UK-based users. You may only use the Services and Content in the United States, Australia, Europe, and the UK and for your own personal, non-commercial purposes. Certain features and Content may only be available to users in certain locations, during certain periods, and on certain devices, and the availability of certain features and Content may change over time. In the case of geographic limitations, your location may not be identified accurately by the technology used for the Services and Content, so you may be unable to access certain features and Content even if you are located in an area in which we intend to provide access.
3.4 Security. You are responsible for maintaining the confidentiality of your user account login names and passwords, and must not permit use of your account by anyone other than members of your household. You accept responsibility for all activities, charges, and damages that occur under your account, including use of your account by other members of your household, and unauthorized use of your account. If you have reason to believe that someone is using your account without your permission, you should contact us immediately. We are not responsible for any loss or damage resulting from unauthorized use.
3.5 Communications. When you use the Services or send e-mails and other communications from your desktop to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as e-mails or notices and messages on this site, and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
4. Intellectual Property; License
4.1 License Grant. The audio and video materials, photographs, text, graphics, logos, layouts, designs, interfaces, software, data and other content associated with the Services (“Content”) are protected by intellectual property and other laws in the U.S. and in other countries. You must comply with all such laws and applicable copyright, trademark or other legal notices or restrictions. Copying or redistribution of Content is strictly prohibited, and digital rights management or other technologies may be used to prevent or restrict any copying or re-distributing of any Content, which you agree not to try to circumvent or avoid. You shall not remove or alter any copyright, trademark, or other legal notices marked on the Content. As between you and Broadstream, Broadstream will retain all right, title, and interest in and to the Services and the Content. No transfer of ownership to any portion of the Content shall be made as a result of any access you are granted. Except as specifically provided below, we reserve all rights to the Services and Content.
4.2 Permitted Use. You are only permitted to access and view the Content for personal, non-commercial purposes in accordance with these Terms, and may not build a business or other enterprise utilizing any of the Content, whether for profit or not. Except as otherwise expressly authorized by us in writing, you may not either directly or through the use of any software, device, internet site, web-based service or other means download, stream capture, store in a database, archive or otherwise copy any part of the Services or Content; upload, sell, rent, lease, lend, broadcast, transmit or otherwise disseminate, distribute, display or perform any part of the Services or Content; license or sublicense any part of the Services or Content; or in any way exploit any part of the Services or Content. In addition, except as otherwise expressly authorized by us in writing, you are strictly prohibited from modifying Content; creating, distributing or advertising an index of any significant portion of the Content; or otherwise creating derivative works or materials that otherwise are derived from or based in any way on the Content, including mash-ups and similar videos, montages, translations, desktop themes, fonts, icons, wallpaper, greeting cards, and merchandise. This prohibition from creating derivative works is applicable even if you intend to give away the derivative material free of charge.
4.3 Video Player. Without limiting the foregoing, you may not modify, interfere with, enhance, remove, or otherwise alter in any way any portion of the Broadstream video player (the “Video Player”); any of the Video Player’s underlying technology; or any digital rights management mechanism, device, or other content protection or access control measure incorporated into the Video Player. This restriction includes, without limitation, disabling, modifying, reverse engineering, interfering with or otherwise circumventing the Video Player in any manner that enables users to view Content without: (i) visibly displaying both the Video Player and all surrounding elements (including the graphical user interface, any advertising, copyright notices, and trademarks) of the webpage where the Video Player is located; and (ii) having full access to all functionality of the Video Player, including, without limitation, all video quality and display functionality and all interactive, elective or click-through advertising functionality.
5. Legal Complaints
Broadstream respects intellectual property rights. If you believe that Content on the Services infringes your copyright, please send a written notice to the agent identified below to request a review of the alleged infringement:

In addition, any written notice regarding any defamatory or infringing activity, whether of a copyright, patent, trademark or other proprietary right must include the following information:
- Your name, address, telephone number, and e-mail address;
- A physical or electronic signature of a person authorized to act on behalf of (1) the owner of an exclusive right that is allegedly infringed or (2) the person defamed;
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on the Services are covered by a single notification, a list of such works. Similarly, for materials that are defamatory or infringe patent, trademark, or other proprietary rights of a third party, please submit a list of such materials;
- Identification of the material that is claimed to be infringing, to be the subject of infringing activity, or that is claimed to be defamatory and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright or other proprietary right owner, its agent, or the law; and
- A statement that the information in the notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed or on behalf of the person defamed.
6. Acceptable Use
- Without limiting any other provision in these Terms, you agree not to do the following, attempt to do the following, or assist others to do the following:
- use the Services (nor conduct your business) for any illegal purpose, or in violation of any local, state, national, or international law;
- Access the Services using any interface other than ours;
- Maintain any link to the Services that we ask you to remove, in our sole discretion;
- Frame the Services or Content, make the Services or Content available via in-line links, use any meta tags or any other “hidden text” utilizing Broadstream’s name or trademarks, or otherwise display the Services or Content in connection with an unauthorized logo or mark, or do anything that could falsely suggest a relationship between the Broadstream and any third party or potentially deprive us of revenue (including, without limitation, revenue from advertising, branding, or promotional activities);
- Remove, modify, disable, block or otherwise impair any advertising in connection with the Services;
- Interfere with others using the Services or otherwise disrupt the Services;
- Disassemble, decompile or otherwise reverse engineer any software or other technology included in the Content or used to provide the Services;
- Transmit, collect, or access personally identifiable information about other users without the consent of those users and Broadstream;
- Engage in unauthorized spidering, “scraping,” data mining or harvesting of Content, or use any other unauthorized automated means to gather data from or about the Services;
- Impersonate any person or entity or otherwise misrepresent your affiliation or the origin of materials you transmit;
- Remove, avoid, interfere with, or otherwise circumvent any access control measures for the Services or Content, including password-protected areas and geo-filtering mechanisms, or any digital rights management measures used in connection with Content;
- Access any portion of the Services that we have not authorized you to access (including password-protected areas), link to password-protected areas, attempt to access or use another user’s account or information, or allow anyone else to use your account or access credentials;
- obscure or disguise your location while you are accessing the Service;
- use the Services or any Content in conjunction with any stream-ripping, stream capture or similar software to record or create a copy of any Content that is presented to you in streaming format;
- use Content as part of any service for sharing, lending or multi-person use, or for the purpose of any other institution, except as specifically permitted and only in the exact manner provided.
If you violate this Section 6, Broadstream may terminate your access to the Services without notice, and take any other actions or seek any remedies permitted by law.
7. Access to Services and Accounts; Quality of Service
7.1 Access to Services and Accounts. We may take any of the following actions in our sole discretion at any time, and without giving you prior notice:
- Change or discontinue the Services;
- Change how we offer and operate Services (e.g., to begin charging a fee to access features or Content that we previously made available without charge);
- Remove Content from the Services;
- Restrict, suspend or terminate your access to one or more Services or features thereof; and
- Deactivate your accounts and delete all related information and files in your accounts.We will not be liable to you or any third party for taking any of these actions and we will not be limited to the remedies above if you violate these Terms. If Broadstream terminates your access to any of the Services, you must immediately stop using such Service.
7.2 Quality of Services. The quality of the display of the streaming Content may vary from device to device, and may be affected by a variety of factors, including your location and the speed of your Internet connection. The time it takes to begin watching Content will also vary based on a number of factors, including your location, available bandwidth at the time and the configuration of your device. Broadstream makes no representations or warranties about the quality of your watching experience on your device.
Unsolicited Submissions.
Broadstream does not accept unsolicited submissions, including scripts, story lines, articles, fan fiction, characters, drawings, suggestions, ideas or concepts. It is Broadstream’s policy to delete any such submission without reading it. Any similarity between an unsolicited submission and any elements in any Broadstream creative work would be purely coincidental.
Indemnification
You will defend, indemnify and hold harmless Broadstream, its affiliates, and their respective directors, officers, employees, shareholders, vendors, partners, contractors, agents, licensors (including Content providers) or other representatives and all of their successors and assigns (collectively, the “Broadstream Parties”) with respect to all third party claims, costs (including attorney’s fees and costs), damages, liabilities, and expenses or obligations of any kind, arising out of or in connection with your use or misuse of the Services (including, without limitation use of your account, whether or not authorized by you), your (or any user of your account’s) breach or alleged breach of any of these Terms, and your use of any Third Party Platform Providers or your breach or alleged breach of any terms and conditions related thereto. Broadstream retains the right to assume the exclusive defense and control of any claim subject to indemnification, and in such cases you agree to cooperate with us to defend such claim. You may not settle any claim covered by this Section 11 without Broadstream’s prior written approval.
Disclaimers
THE BROADSTREAM PARTIES DO NOT PROVIDE ANY WARRANTIES WITH RESPECT TO THE SERVICES OR CONTENT. SPECIFICALLY, THE BROADSTREAM PARTIES DO NOT WARRANT: (1) THAT THE SERVICES, ANY OF THE SERVICES’ FUNCTIONS OR ANY CONTENT WILL BE UNINTERRUPTED OR FREE OF ERRORS OR OMISSIONS; (2) THAT DEFECTS WILL BE CORRECTED; (3) THAT THE SERVICES OR THE SERVERS HOSTING THEM ARE FREE OF VIRUSES OR OTHER HARMFUL CODE; OR (4) THAT THE SERVICES OR INFORMATION AVAILABLE THROUGH THE SERVICES WILL CONTINUE TO BE AVAILABLE. THE BROADSTREAM PARTIES SHALL HAVE NO LIABILITY FOR ANY SUCH ISSUES. THE BROADSTREAM PARTIES DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NONINFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND AS TO QUALITY, AVAILABILITY AND SUBJECT MATTER OF CONTENT. THE SERVICES, INCLUDING ALL CONTENT AND FUNCTIONS MADE AVAILABLE ON OR ACCESSED THROUGH OR SENT FROM THE SERVICES, ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
Some aspects of the display of Services (for example, high definition and speed to initiate viewing) may vary from device to device, and may be affected by factors such as your location, the configuration of your device and the speed of your internet connection. We make no representations or warranties about the quality of your viewing experience on your device or other display.
Your access to and use of the Services (including their functions and content) is at your risk. If you are dissatisfied with the Services, your sole and exclusive remedy is to discontinue accessing and using the Services.
The Broadstream Parties will not be liable for any failure or delay in their performance due to any cause beyond their reasonable control, including acts of war, acts of God, acts of third parties, earthquake, flood, embargo, riot, sabotage, labor shortage or dispute, governmental act, power failure or failure of the internet or computer equipment.
By using the Service, you may encounter Content that may be offensive, indecent or objectionable (including, for example, if the Content contains outdated cultural references); this Content may or may not be identified as having explicit language or other attributes. Nevertheless, you agree to use the Service at your sole risk, and Broadstream has no liability to you for any Content. Content types, genres, categories, and descriptions are provided for convenience, and Broadstream does not guarantee their accuracy.
Liability
THE BROADSTREAM PARTIES WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH THE SERVICES (INCLUDING THEIR FUNCTIONS AND CONTENT), YOUR USE OF THE SERVICES (INCLUDING THEIR FUNCTIONS AND CONTENT) OR THESE TERMS, EVEN IF FORESEEABLE OR EVEN IF ONE OR MORE OF THE BROADSTREAM PARTIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES (INCLUDING, WITHOUT LIMITATION, WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, GROSS NEGLIGENCE, OR OTHERWISE, BUT EXCLUDING WILLFUL MISCONDUCT). IN NO EVENT WILL THE BROADSTREAM PARTIES’ LIABILITY FOR OTHER DAMAGES EXCEED [●].
You acknowledge and agree that if you incur any damages that arise out of the Broadstream Parties’ acts or omissions, the damages, if any, are not irreparable and are not sufficient to entitle you to an injunction or other equitable relief restricting operation of the Services or any other service, property, product, program, television show, motion picture, or other Content owned or controlled by the Broadstream Parties.
Because some jurisdictions do not allow for the disclaimer of certain warranties or the limitation or exclusion of liability for certain types of damages, some of the limitations set forth in these terms may not apply to you. The Broadstream Parties’ liability in such jurisdictions shall be limited to the greatest extent permitted by the law of such jurisdiction. This paragraph will only apply if an arbitrator or court with applicable jurisdiction in accordance with these terms finds exclusions of damages or limitations of liability to be unconscionable or otherwise violate applicable laws. Nothing in these terms shall effect a waiver of any non-waivable statutory rights that apply to you. If you are a California resident, you waive California Civil Code §1542, which says: a general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.
Governing Law, Venue, and Jurisdiction
These Terms and all Claims as between you and us arising from or related to your use of the Services will be governed by and construed in accordance with the laws of the State of New York, except New York’s conflict of law rules. These Terms will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, if applicable.
With respect to any disputes or claims not subject to arbitration (as set forth below), you agree to jurisdiction in the state and federal courts in New York, New York. Notwithstanding any other provision of these Terms, we may seek injunctive or other equitable relief from any court of competent jurisdiction.
Regardless of any statute or law to the contrary, you must file any claim or action related to use of the Services or these Terms within one year after such claim or action accrued. Otherwise, you will waive the claim or action.
Disputes; Arbitration
Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award and nothing in this Section shall be interpreted as limiting any non-waivable statutory rights. You agree that, by agreeing to these Terms, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Broadstream are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms and your cessation of use of the Services.
If you have any dispute with or claim against us or any Broadstream Party, or if we have a dispute with or claim against you, in either case arising out of or relating to the Services or these Terms (a “Claim”), and the Claim is not resolved by calling 631-410-6288. you and we each agree to resolve such Claim through an individual binding arbitration or through an individual action in small claims court in in New York, New York. Class arbitrations and class actions are not permitted, and your Claim may not be consolidated with any other person’s claim. You and we agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and we are each waiving the right to a trial by jury or to participate in a class action.
Before you or we commence an arbitration or file a small claims court action with respect to a Claim, you must first send to Broadstream a written notice of your claim or we must send a written notice of our claim to you (“Notice“). Your Notice must (1) be sent by certified mail; (2) be addressed to: Broadstream, BROADSTREAM VENTURES LLC, 2585 BROADWAY, #132 NEW YORK, NY 10025; (3) describe the nature of your Claim; and (4) specify the damages or other relief you seek. If we and you do not then resolve the Claim within 30 days after our receipt of Notice is received, either you or we may commence an arbitration or file a small claims court action to resolve the Claim.
Any such arbitration shall be administered by the American Arbitration Association and be conducted in accordance with its Consumer Arbitration Rules (the “Rules”). Contact information for the American Arbitration Association, as well as copies of the Rules and applicable forms, are available at http://www.adr.org In circumstances in which the Rules provide for an in-person hearing, such hearing will take place in New York, New York.
Local Regulations
You may view Content within the country in which you have established your account and only in geographic locations where we offer our Services and have licensed such content. The content that may be available to watch will vary by geographic location and will change from time to time.
You are responsible for complying with local laws, if and to the extent local laws are applicable. You specifically agree to comply with all applicable laws concerning the transmission of technical data exported from the United States or the country in which you reside.
Export Control
The Services are controlled and operated by us from our offices within the State of New York. You hereby represent and warrant that (i) you are not located in a country that is (a) subject to a U.S. government embargo (for example, Crimea, Cuba, Iran, North Korea or Syria) or (b) on Title 15, Part 740 Supplement 1 Country Group E of the U.S. Code of Federal Regulations, (ii) you are not listed on any U.S. or United Nations Security Council (UNSC) list of prohibited or restricted parties, including the list of Specially Designated Nationals and Blocked Persons administered by the U.S. Treasury Department or the U.S. Commerce Department’s Denied Persons List, and (iii) you are not otherwise the target of U.S. or UNSC economic sanctions. You may not access, download or otherwise use any Services in violation of United States or UNSC export control or economic sanctions laws and regulations. Software in or from the Services are further subject to U.S. export controls. No software may be downloaded or otherwise exported or re-exported in violation of applicable laws, including without limitation to any end user in a U.S. embargoed country or territory or an end user included on any U.S., or UNSC government list of prohibited or restricted parties.
Notice for California Users
Under California Civil Code Section 1789.3, California users of the Services are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 400 R Street, Suite 1080, Sacramento, California 95814, or by telephone at (916) 445-1254 or (800) 952-5210.
Terms Applicable to Third Party Platform Providers
If you access or download the Services via an Apple, Inc. (“Apple”), Amazon.com, Inc., Google, Inc., Microsoft Corporation, Samsung Electronics America, Inc. (“Samsung”) or any other third party app store or platform (each a “Third Party Platform Provider”), such Third Party Platform Providers shall be third-party beneficiaries to these Terms. However, these Third Party Platform Providers are not party to these Terms and have no obligation to provide maintenance and/or support of the Services. Broadstream, not such Third Party Platform Providers, are solely responsible for the Services. Your access to the Services using the Third Party Platform Providers’ app stores or platforms are subject to the usage terms set forth in the applicable Third Party Platform Provider’s terms of service.]
Miscellaneous
We may be required by state or federal law to notify you of certain events. You hereby acknowledge and agree that such notices will be effective upon our posting them in the relevant Service or delivering them to you via email. You may update your email address by visiting the Services where you have provided contact information. If you do not provide us with accurate information, we will not be responsible for failure to notify you.
